These Terms of Sale govern all offers, orders, engagements and invoices issued by Humanae Partners. They supplement the commercial proposal, quote, engagement letter and\/or any framework agreement.<\/p>\n<p class=\"translation-block\">1.2. In the event of any conflict, the order of precedence is: (i) signed special conditions, (ii) engagement letter\/quote, (iii) these Terms of Sale, (iv) technical documents\/appendices.<\/p>\n<p class=\"translation-block\">1.3. Any general terms of the Client shall apply only if Humanae Partners has accepted them in writing.<\/p>\n<\/p><\/div>\n<div class=\"hp-article\">\n<div class=\"hp-article-num translation-block\">Art. 2<\/div>\n<h3 class=\"translation-block\">Definitions<\/h3>\n<p>2.1. <strong>Services<\/strong> : strategic\/operational consulting services, workshops, assessments, analytical deliverables, PMO, etc.<\/p>\n<p>2.2. <strong>Deliverables<\/strong> : documents, reports, templates, matrices, materials or similar items provided to the Client.<\/p>\n<p>2.3. <strong>Fees<\/strong> : units and rates set out in the offer or engagement letter.<\/p>\n<\/p><\/div>\n<div class=\"hp-article\">\n<div class=\"hp-article-num translation-block\">Art. 3<\/div>\n<h3 class=\"translation-block\">Offers, Orders and Term<\/h3>\n<p class=\"translation-block\">3.1. Offers are valid for 30 days unless otherwise stated. The agreement is formed by signature (electronic signature accepted) or by a written purchase order.<\/p>\n<p class=\"translation-block\">3.2. Unless an obligation of result is expressly stipulated, services are provided on a best-efforts basis (contract of mandate, Art. 394 et seq. of the Swiss Code of Obligations).<\/p>\n<p class=\"translation-block\">3.3. Durations, milestones and resources are specified in the engagement letter; they may be adjusted in accordance with Art. 7 (Changes).<\/p>\n<\/p><\/div>\n<div class=\"hp-article\">\n<div class=\"hp-article-num translation-block\">Art. 4<\/div>\n<h3 class=\"translation-block\">Client's Duty to Cooperate<\/h3>\n<p class=\"translation-block\">4.1. The Client shall provide, in a timely manner, the necessary information, access, decisions and resources.<\/p>\n<p class=\"translation-block\">4.2. Delays attributable to the Client (validation, missing data, access) shall extend deadlines accordingly and may result in reasonable additional costs.<\/p>\n<\/p><\/div>\n<div class=\"hp-article\">\n<div class=\"hp-article-num translation-block\">Art. 5<\/div>\n<h3 class=\"translation-block\">Prices, Expenses and Taxes<\/h3>\n<p class=\"translation-block\">5.1. Unless otherwise stated, prices are quoted in CHF, excluding VAT and expenses.<\/p>\n<p class=\"translation-block\">5.2. Expenses (travel, accommodation, third-party licenses\/tools, etc.) are rebilled at actual cost, subject to prior approval where they exceed reasonable norms.<\/p>\n<p class=\"translation-block\">5.3. Swiss VAT is added in accordance with applicable law.<\/p>\n<p class=\"translation-block\">5.4. Daily rates or flat fees are specified in the special conditions; an annual indexation may apply (CPI) subject to prior notice.<\/p>\n<\/p><\/div>\n<div class=\"hp-article\">\n<div class=\"hp-article-num translation-block\">Art. 6<\/div>\n<h3 class=\"translation-block\">Travel Expenses Outside the Canton of Geneva<\/h3>\n<p class=\"translation-block\">6.1. Travel outside the Canton of Geneva shall be billed at actual travel cost.<\/p>\n<p class=\"translation-block\">6.2. Travel by private vehicle: CHF 0.70\/km (round trip from Geneva).<\/p>\n<p class=\"translation-block\">6.3. Public transport: actual cost upon presentation of receipts.<\/p>\n<p class=\"translation-block\">6.4. No charge for trips of less than 20 km from the registered office. A minimum flat fee of CHF 50.- may apply beyond that distance.<\/p>\n<\/p><\/div>\n<div class=\"hp-article\">\n<div class=\"hp-article-num translation-block\">Art. 7<\/div>\n<h3 class=\"translation-block\">Invoicing and Payment<\/h3>\n<p class=\"translation-block\">7.1. Invoicing is monthly in arrears or by milestone, as specified in the engagement letter.<\/p>\n<p class=\"translation-block\">7.2. Invoices are payable within 30 days of the invoice date, without discount.<\/p>\n<p class=\"translation-block\">7.3. In the event of late payment: default interest shall accrue at the Swiss statutory rate (5% per annum) from the date of default.<\/p>\n<p class=\"translation-block\">7.4. Any billing dispute must be reported in writing within 10 days of receipt; thereafter, the invoice shall be deemed accepted.<\/p>\n<\/p><\/div>\n<div class=\"hp-article\">\n<div class=\"hp-article-num translation-block\">Art. 8<\/div>\n<h3 class=\"translation-block\">Changes in Scope<\/h3>\n<p class=\"translation-block\">8.1. Any significant change (scope, timeline, resources) shall be subject to an amendment specifying the cost\/timeline impacts.<\/p>\n<p class=\"translation-block\">8.2. In the absence of agreement on the amendment, Humanae Partners shall carry out the originally agreed scope.<\/p>\n<\/p><\/div>\n<div class=\"hp-article\">\n<div class=\"hp-article-num translation-block\">Art. 9<\/div>\n<h3 class=\"translation-block\">Deadlines and Suspension<\/h3>\n<p class=\"translation-block\">9.1. Deadlines are indicative unless committed to in writing. Scheduling is contingent on Client dependencies and approvals.<\/p>\n<p class=\"translation-block\">9.2. In the event of force majeure or serious breach by the Client, Humanae Partners may suspend performance.<\/p>\n<\/p><\/div>\n<div class=\"hp-article\">\n<div class=\"hp-article-num translation-block\">Art. 10<\/div>\n<h3 class=\"translation-block\">Acceptance, Complaints and Warranties<\/h3>\n<p class=\"translation-block\">10.1. Deliverables shall be deemed accepted in the absence of written, substantiated comments within 10 business days of delivery.<\/p>\n<p class=\"translation-block\">10.2. Humanae Partners shall correct, at no additional cost, any duly reported material discrepancy within a reasonable timeframe.<\/p>\n<p class=\"translation-block\">10.3. Services are provided with care and diligence, without any warranty of result.<\/p>\n<\/p><\/div>\n<div class=\"hp-article\">\n<div class=\"hp-article-num translation-block\">Art. 11<\/div>\n<h3 class=\"translation-block\">Intellectual Property and Rights of Use<\/h3>\n<p class=\"translation-block\">11.1. Humanae Partners' pre-existing know-how, methods, templates and materials remain its exclusive property.<\/p>\n<p class=\"translation-block\">11.2. Subject to payment in full, Humanae Partners grants the Client a non-exclusive, non-transferable license to use the deliverables for its internal purposes.<\/p>\n<p class=\"translation-block\">11.3. Third-party elements (fonts, images, software) remain subject to their own licenses.<\/p>\n<\/p><\/div>\n<div class=\"hp-article\">\n<div class=\"hp-article-num translation-block\">Art. 12<\/div>\n<h3 class=\"translation-block\">Confidentiality and Data Protection (FADP\/GDPR)<\/h3>\n<p class=\"translation-block\">12.1. Each party shall treat the other party's information as confidential.<\/p>\n<p class=\"translation-block\">12.2. Humanae Partners complies with the revised Federal Act on Data Protection (FADP) and, where applicable, the GDPR.<\/p>\n<p class=\"translation-block\">12.3. Cross-border data transfers are carried out in compliance with applicable legal bases (standard contractual clauses).<\/p>\n<\/p><\/div>\n<div class=\"hp-article\">\n<div class=\"hp-article-num translation-block\">Art. 15<\/div>\n<h3 class=\"translation-block\">Liability and Insurance<\/h3>\n<p class=\"translation-block\">15.1. Humanae Partners S\u00e0rl undertakes to perform its services with care and diligence. It shall only be liable in the event of gross negligence.<\/p>\n<p class=\"translation-block\">15.2. No liability is assumed for indirect, consequential or intangible damages (loss of profit, data loss).<\/p>\n<p class=\"translation-block\">15.3. Humanae Partners S\u00e0rl represents that it holds standard professional insurance covering its civil liability.<\/p>\n<\/p><\/div>\n<div class=\"hp-article\">\n<div class=\"hp-article-num translation-block\">Art. 16<\/div>\n<h3 class=\"translation-block\">Non-Solicitation<\/h3>\n<p class=\"translation-block\">16.1. The Client shall not hire or directly engage any Humanae Partners team member who participated in the engagement, during the engagement and for 12 months thereafter, without written consent.<\/p>\n<\/p><\/div>\n<div class=\"hp-article\">\n<div class=\"hp-article-num translation-block\">Art. 17<\/div>\n<h3 class=\"translation-block\">Force Majeure<\/h3>\n<p class=\"translation-block\">17.1. Neither party shall be liable for any delay or failure to perform due to an unforeseeable event beyond its control (disaster, war, widespread outage, major cyberattack, administrative order).<\/p>\n<p class=\"translation-block\">17.2. Obligations shall be suspended for the duration of the event; the parties shall seek a mitigation plan in good faith.<\/p>\n<\/p><\/div>\n<div class=\"hp-article\">\n<div class=\"hp-article-num translation-block\">Art. 19<\/div>\n<h3 class=\"translation-block\">Term and Termination<\/h3>\n<p class=\"translation-block\">19.1. Unless otherwise agreed, the mandate is entered into for an indefinite term.<\/p>\n<p class=\"translation-block\">19.2. In accordance with Art. 404 of the Swiss Code of Obligations, either party may terminate the mandate at any time, subject to at least 15 days' written notice.<\/p>\n<p class=\"translation-block\">19.3. In the event of termination, Humanae Partners shall be entitled to payment in full for services already performed and, where applicable, to fair compensation for commitments made.<\/p>\n<p class=\"translation-block\">19.4. Any termination must be notified in writing, by registered letter or electronic means with acknowledgment of receipt.<\/p>\n<\/p><\/div>\n<div class=\"hp-article\">\n<div class=\"hp-article-num translation-block\">Art. 20<\/div>\n<h3 class=\"translation-block\">Governing Law, Jurisdiction and Language<\/h3>\n<p class=\"translation-block\">20.1. The contract is governed by Swiss law.<\/p>\n<p class=\"translation-block\">20.2. Exclusive jurisdiction: Geneva (Switzerland), at the administrative headquarters of Humanae Partners.<\/p>\n<p class=\"translation-block\">20.3.
